  1. preheat oven to 350.
  2. mix cocoa and water, set aside to cool.
  3. combine flour, baking soda and salt in a bowl, stirring well.
  4. place sugar, shortening, and vanilla in a large bowl, beat well or use a mixer add eggs one at a time, beating after each addition.
  5. beat in cocoa mixture.
  6. add flour and buttermilk alternatly, beating after each addition.
  7. spray a 13x9 baking dish with non stick spray.
  8. pour in batter, bake for 30 minutes until cake springs back.
  9. cool in pan 10 minutes.
  10. for icing stir sugar and cocoa, mix well.
  11. add milk, butter and vanilla, whisk until smooth.
  12. spread over cake.
